These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Trader", "you", or "your") and Luxen Finance, Inc. ("Luxen Finance", "we", "us", or "our") governing your access to and use of our trading platform, website, mobile applications, and related services (collectively, the "Services"). By registering for an account, accessing our platform, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and all applicable laws and regulations.

By accessing or using the Luxen Finance platform, you agree to:

1.1 Binding Agreement: These Terms constitute a binding legal agreement between you and Luxen Finance, Inc. If you do not agree to these Terms, you must not access or use our Services.

1.2 Age Requirement: You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services. By using our platform, you represent and warrant that you meet this age requirement.

1.3 Legal Capacity: You represent that you have the legal capacity to enter into this Agreement and that you are not prohibited by law from accessing or using our Services.

1.4 Jurisdiction: You acknowledge that trading services may not be available in all jurisdictions. You are responsible for ensuring that your use of our Services complies with all applicable laws in your jurisdiction.

1.5 Account Creation: By creating an account, you confirm that all information provided is accurate, complete, and current. You agree to update your information promptly if it changes.

2.1 Account Creation:
To access our trading Services, you must register for an account by providing accurate personal information including your full legal name, date of birth, email address, residential address, and other required details.

2.2 Identity Verification (KYC):
In compliance with European and French regulations, we require identity verification for all users. You must provide:
- Government-issued photo identification (driver's license, passport, or national ID)
- Proof of address (utility bill, bank statement, or government document dated within 90 days)
- Tax Identification Number
- Additional documentation as requested for enhanced due diligence

2.3 Account Approval:
Account approval is at our sole discretion. We reserve the right to reject any application without providing a reason. Approval may take 1-5 business days depending on verification complexity.

2.4 Account Security:
You are responsible for maintaining the confidentiality of your account credentials. You must:
- Create a strong, unique password
- Enable multi-factor authentication (MFA) when available
- Never share your login credentials with anyone
- Notify us immediately of any unauthorized access or security breach

2.5 Account Responsibility:
You are solely responsible for all activities conducted through your account. We are not liable for losses resulting from unauthorized use of your account credentials.

3.1 Services Offered:
Luxen Finance provides electronic trading and investment services across six diversified verticals:
- Foreign exchange (forex) currency pairs
- AiTech: thematic investment in artificial intelligence and automation technology
- Stocks: global equity market access
- Oil: oil and energy market instruments
- Real Estate: residential and commercial property investment opportunities
- Agriculture: farmland and agricultural commodity investment opportunities

3.2 Execution-Only Services:
We provide execution-only services. We do not provide investment advice, portfolio management, or recommendations regarding specific trades or strategies. All trading and investment decisions are your sole responsibility.

3.3 Market Hours:
Forex markets operate 24 hours Monday through Friday. Stock, oil, and AiTech-related instruments follow the trading hours of their respective exchanges. Real Estate and Agriculture opportunities follow asset-specific offering and settlement schedules disclosed at the time of investment. Platform maintenance may occasionally interrupt service, typically during low-volume periods.

3.4 Order Types:
We support various order types including market orders, limit orders, stop-loss orders, and take-profit orders. Order execution is subject to market conditions and liquidity availability.

3.5 Pricing and Spreads:
Prices are sourced from multiple liquidity providers. Spreads may vary based on market volatility, liquidity, and asset class. We strive to provide competitive pricing but do not guarantee specific spread levels.

4.1 Trading Fees:
We charge fees on certain transactions as disclosed on our Fee Schedule, which is available on our website and incorporated into these Terms by reference. Fees may include:
- Spread markups on forex and other traded instruments
- Commission fees on certain asset classes
- Overnight holding fees (swap fees) for leveraged positions
- Management or administrative fees on Real Estate and Agriculture allocations, as disclosed at the time of investment
- Inactivity fees for dormant accounts (after 90 days of inactivity)

4.2 Deposit and Withdrawal Fees:
- Bank wire transfers may incur processing fees
- Credit/debit card deposits may incur processing fees
- Withdrawal fees vary by payment method and are disclosed before processing

4.3 Fee Changes:
We reserve the right to modify our fee structure with 30 days' prior notice via email and platform notification. Continued use of Services after fee changes constitutes acceptance.

4.4 Tax Reporting:
You are responsible for all taxes related to your trading activity. We provide annual tax reporting documents as required by French and European tax law.

5.1 Deposit Methods:
We accept deposits via bank transfer (ACH/wire) and credit/debit cards. All deposits must originate from accounts in your name.

5.2 Deposit Processing:
- Bank transfers: 1-5 business days
- Card payments: Instant to 24 hours

5.3 Withdrawal Processing:
Withdrawal requests for Forex, AiTech, and Stocks positions are processed within 1-3 business days subject to security review and AML compliance checks. Oil, Real Estate, and Agriculture allocations follow asset-specific settlement cycles disclosed at the time of investment, which may take longer due to underlying asset liquidity. We may request additional verification for large withdrawals.

5.4 Withdrawal Restrictions:
Withdrawals must be sent to accounts in your name. We do not process third-party withdrawals. Minimum withdrawal amounts apply as disclosed on our platform.

5.5 Anti-Money Laundering:
All deposits and withdrawals are subject to AML screening. We may freeze or reject transactions that appear suspicious or violate applicable regulations.

6.1 Leverage Availability:
We offer leveraged trading on forex and certain stock and oil-linked instruments. Leverage ratios vary by asset class and account type, subject to regulatory limits. Leverage is not offered on Real Estate or Agriculture allocations.

6.2 Margin Requirements:
You must maintain sufficient margin to support open leveraged positions. Margin requirements are calculated in real-time and displayed on your trading dashboard.

6.3 Margin Calls:
If your account equity falls below the required maintenance margin, you will receive a margin call notification. You must deposit additional funds or close positions promptly.

6.4 Forced Liquidation:
If margin levels remain insufficient, we may automatically close some or all of your positions without prior notice to prevent negative account balance.

6.5 Negative Balance Protection:
For retail accounts, we provide negative balance protection. Your losses are limited to your account balance, and you will not owe additional funds beyond your deposits.

7.1 General Risks:
Trading forex, stocks, oil, and other leveraged products involves substantial risk of loss. Real Estate and Agriculture investments carry illiquidity and asset-specific risk. You may lose some or all of your invested capital. You should only invest with money you can afford to lose.

7.2 Volatility Risk:
Financial markets can be highly volatile. Prices can fluctuate rapidly due to news events, market sentiment, liquidity conditions, and other factors beyond our control.

7.3 Leverage Risk:
Leverage amplifies both profits and losses. A small adverse price movement can result in losses exceeding your initial investment.

7.4 Real Asset Risks:
Real Estate and Agriculture investments are subject to unique risks including illiquidity, market cycles, weather and climate events, regulatory changes, and valuation uncertainty. These investments may not be readily convertible to cash and may take longer to exit than Forex, AiTech, or Stocks positions.

7.5 No Guaranteed Returns:
Past performance is not indicative of future results. No investment strategy, including thematic AiTech allocations, guarantees profits.

You agree NOT to:

- Use our Services for any illegal purpose or in violation of applicable laws
- Engage in market manipulation, wash trading, or other fraudulent trading practices
- Use automated systems (bots, scripts) that violate our platform policies
- Attempt to gain unauthorized access to our systems or other users' accounts
- Reverse engineer, decompile, or disassemble any part of our platform
- Use our Services if you are a resident of sanctioned jurisdictions
- Open multiple accounts to circumvent trading limits or restrictions
- Engage in money laundering, terrorist financing, or other financial crimes
- Provide false or misleading information during registration or verification
- Share your account credentials or allow others to use your account

Violation of these prohibitions may result in immediate account suspension or termination, forfeiture of funds, and referral to law enforcement authorities.

9.1 Our Right to Suspend/Terminate:
We reserve the right to suspend or terminate your account at any time, with or without notice, for reasons including:
- Violation of these Terms
- Suspected fraudulent, illegal, or suspicious activity
- Failure to complete identity verification
- Regulatory requirements or legal obligations
- Inactivity exceeding 12 months

9.2 Your Right to Terminate:
You may close your account at any time by submitting a closure request through our platform. All open positions must be closed and funds withdrawn before account closure.

9.3 Effect of Termination:
Upon termination, all trading activity ceases immediately. You must withdraw remaining funds within 30 days. Unclaimed funds after 90 days may be subject to dormancy fees.

9.4 Survival of Terms:
Provisions regarding fees, indemnification, liability limitations, and dispute resolution survive account termination.

All content on our platform, including text, graphics, logos, software, data compilations, and trademarks, is the property of Luxen Finance, Inc. or its licensors and is protected by French, European, and international copyright and trademark laws. You may not copy, reproduce, distribute, modify, or create derivative works without our express written permission.

11.1 Disclaimer of Warranties:
Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUXEN FINANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OUR SERVICES.

11.3 Maximum Liability:
Our total liability to you for any claims arising from or relating to these Terms or our Services shall not exceed the fees you paid to us in the 12 months preceding the claim.

11.4 Force Majeure:
We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet failures, or equipment malfunctions.

You agree to indemnify, defend, and hold harmless Luxen Finance, Inc., its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of our Services
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your violation of any third-party rights
- Any false or misleading information you provide

13.1 Informal Resolution:
Before filing a formal dispute, you agree to contact us at legal@luxenfinance.com to seek informal resolution. We commit to working in good faith to resolve disputes amicably.

13.2 Binding Arbitration:
Any dispute arising from or relating to these Terms or our Services shall be resolved through binding arbitration administered by recognized arbitration institutions under applicable French and European arbitration rules.

13.3 Arbitration Terms:
- Arbitration shall be conducted by a single neutral arbitrator
- Arbitration venue shall be Dijon, France
- French law shall govern the arbitration
- Each party bears its own arbitration costs and attorneys' fees unless the arbitrator awards otherwise
- The arbitrator's decision is final and binding

13.4 Class Action Waiver:
YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

13.5 Small Claims Exception:
Either party may bring an individual action in small claims court instead of arbitration if the claim qualifies.

These Terms shall be governed by and construed in accordance with the laws of France and the European Union, without regard to conflict of law principles. Any disputes not subject to arbitration shall be brought exclusively in courts located in Dijon, France.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and platform notification at least 30 days before becoming effective. Your continued use of our Services after changes take effect constitutes acceptance of the modified Terms. If you do not agree to changes, you must stop using our Services and close your account.

16.1 Entire Agreement:
These Terms, together with our Privacy Policy and Fee Schedule, constitute the entire agreement between you and Luxen Finance regarding our Services.

16.2 Severability:
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.3 No Waiver:
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment:
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor without notice.

16.5 Third-Party Rights:
These Terms do not create any third-party beneficiary rights.

16.6 Translation:
These Terms may be translated into other languages. In case of conflict, the English version prevails.
